CLEANSE CLUB TERMS & CONDITIONS

MO Juice Living Organic, LLC (“MO Juice Living Organic”, “we”, “us” or “our”) is in the business of selling fruit and vegetable juices, protein smoothies, coffees, acai bowls, wraps, and other related supplemental products and services, making every effort possible to use 100% USDA Certified Organic Produce and GMO-free ingredients under the trade name “Clean Juice”.

By registering for the MO Juice Living Organic Cleanse Club (“Cleanse Club”), you agree to these Terms and Conditions (“Terms and Conditions”) and Clean Juice’s Privacy Policy at https://mouicelivingorganic.com/privacy-policy/ and for MO Juice Living Organic to send you emails or other electronic communications about the Cleanse Club and promotional ads. The term “you” or “your” shall refer to any person or entity who views, uses, or accesses the App or orders the Service.

IF YOU SUBSCRIBE TO THE CLEANSE CLUB FOR A TERM GREATER THAN ONE (1) MONTH, THEN YOU WILL CONTINUE TO BE CHARGED THE CLEANSE CLUB MONTHLY FEE (AS DEFINED BELOW) FOR THE ENTIRETY OF THE TERM OF YOUR PLAN (AS DEFINED BELOW) UNLESS YOU CANCEL YOUR CLEANSE CLUB SUBSCRIPTION IN ACCORDANCE WITH SECTION 8 BELOW. YOUR PLAN WILL AUTOMATICALLY EXPIRE AT THE END OF THE TERM YOU SELECT, UNLESS SOONER CANCELLED BY YOU IN ACCORDANCE WITH SECTION 8 BELOW. PLEASE BE AWARE THAT SECTION 26 OF THESE TERMS AND CONDITIONS CONTAINS PROVISIONS GOVERNING HOW DISPUTES THAT YOU AND MOJUICE LIVING ORGANIC HAVE AGAINST EACH OTHER ARE RESOLVED, INCLUDING, WITHOUT LIMITATION, ANY DISPUTES THAT AROSE OR WERE ASSERTED PRIOR TO THE EFFECTIVE DATE OF THESE TERMS AND CONDITIONS. IN PARTICULAR, IT CONTAINS AN ARBITRATION AGREEMENT WHICH WILL, WITH LIMITED EXCEPTIONS, REQUIRE DISPUTES BETWEEN YOU AND MO JUICE LIVING ORGANIC TO BE SUBMITTED TO BINDING AND FINAL ARBITRATION. UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND YOUR RIGHT TO HAVE A JURY TRIAL. ANY DISPUTE, CLAIM OR REQUEST FOR RELIEF RELATING IN ANY WAY TO YOUR USE OF THE APP, THE SERVICE, OR THESE TERMS AND CONDITIONS WILL BE GOVERNED AND INTERPRETED BY AND UNDER THE LAWS OF THE STATE OF MISSOURI CONSISTENT WITH THE FEDERAL ARBITRATION ACT, WITHOUT GIVING EFFECT TO ANY PRINCIPLES THAT PROVIDE FOR THE APPLICATION OF THE LAW OF ANY OTHER JURISDICTION.

Acceptance of Terms and Conditions. These Terms and Conditions, which include our Privacy Policy located at https://mojuicelivingorganic.com/privacy-policy/, govern your access to and use of the MO Juice Living Organic mobile application (the “App”) and all services provided via the App, including without limitation the Cleanse Club subscription service and other products or services you order through the App (collectively, the “Service”). By using the App, you agree to be bound by these Terms and Conditions. If you do not agree with any term or condition in these Terms and Conditions, please do not use the App or the Service. The App and Service are intended for use by individuals in the United States of America. Currently, we do not accept orders from individuals outside the United States. As such, by placing an order through our App, you represent and warrant that you: (1) are legally capable of entering into these Terms and Conditions; (2) are at least 18 years old; and (3) are ordering the Service in the United States. MO Juice Living Organic reserves the right to modify, suspend or stop providing access to the App or the Service at any time without notice and without obligation or liability to you.
Summary of Cleanse Club Program and Benefits. As a member of MO Juice Living Organic Cleanse Club, you will be eligible to purchase MO Juice Living Organic Cold-Pressed Juice cleanse products (the “Cleanse(s)”) through the App for scheduled pick up in MO Juice Living Organic retail stores on dates of your choosing each month. As part of the Cleanse Club, you must specify (1) the number of Cleanse days per month (1, 2, or 3 days) you want to buy in order to consume the Cleanses, and (2) the term (1, 6, or 12 months) of your Cleanse Club subscription period. Cleanse Club monthly pricing is published in the App at the time of your order for each month.
Exclusions. If you are a member of the MO Juice Living Organic Rewards Program in addition to being a member of our Cleanse Club, you will receive points based on purchases made at Cleanse Club pricing. Any one-time discount and promotion code or any other special offer cannot be used or combined with any discount or other benefit offered under the Cleanse Club, unless specifically stated in the promotion. The Cleanse Club benefits cannot be used in conjunction with any coupon or with any corporate or prearranged group discount, unless specifically stated in the applicable coupon or discount. Your Cleanse Club subscription payments must be used toward a MO Juice Living Organic purchase and may not be redeemed in cash unless required by applicable law.
Account Registration. In order to utilize specific features on the App, you will need to register for an account on the App (“Account”). To use the Cleanse Club, you must provide us with the name of the specific MO Juice Living Organic where you want to pick up your Cleanses; your name; a current, valid, accepted method of payment; a current and valid email address; and your current and valid phone number. This information may be updated by visiting your Account page within the App. Should you create an Account with MO Juice Living Organic, you agree to: (1) provide true, accurate, complete and up-to-date information, as well as updating the information as necessary; (2) maintain the security of your password and accept the risks associated with access to your Account which is not authorized by you; (3) notify us as soon as possible at info@mojuicelivingorganic.com if you believe there have been any breaches to the security of the App or your Account; and (4) exit from your Account at the end of each session. You are responsible for all activities that occur under your Account. You agree that you shall monitor your Account to restrict use by minors, and you will accept full responsibility for any unauthorized use of the App by minors. You may not share your Account or password with anyone. If you provide any information that is untrue, inaccurate, not current, or incomplete, or MO Juice Living Organic has reasonable grounds to suspect that any information you provide is untrue, inaccurate, not current or incomplete, MO Juice Living Organic has the right to suspend or terminate your Account and refuse any and all current or future use of the App. You agree not to create an Account using a false identity or information, or on behalf of someone other than yourself. You agree not to create an Account or use the App if you have been previously removed by MO Juice Living Organic, or if you have been previously banned from the App. You acknowledge and agree that you shall have no ownership or other property interest in your Account, and you further acknowledge and agree that all rights in and to your Account are and shall forever be owned by and inure to the benefit of MO Juice Living Organic. YOU WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF THE APP BY ANYONE USING YOUR ACCOUNT, WHETHER OR NOT SUCH ACCESS TO AND USE OF YOUR ACCOUNT IS ACTUALLY AUTHORIZED BY YOU, INCLUDING WITHOUT LIMITATION, ALL COMMUNICATIONS AND TRANSMISSIONS, ALL PURCHASES, AND ALL OBLIGATIONS INCURRED THROUGH SUCH ACCESS OR USE.
Subscription; Continuous Service Terms
1. 1. a. MO Juice Living Organic Subscription Service. The Cleanse Club is a recurring monthly subscription to Clean Juice’s Cleanses. As part of the Service, Clean Juice offers a number of subscription options that you may choose from (each, a “Plan”). Your Plan will be for a fixed term of 1, 6, or 12 months and your Plan will automatically expire at the end of the fixed term. Each month of your Plan you will receive 1, 2, or 3 Cleanses per month. You can find specific details regarding your Plan by visiting the manage subscription option on your Account on the App.
  2. b. CONTINUOUS SERVICE. IF YOUR PLAN IS FOR GREATER THAN A ONE (1) MONTH TERM, THE SERVICE CONSISTS OF AN INITIAL MONTHLY CHARGE FOLLOWED BY RECURRING MONTHLY CHARGES FOR THE TERM OF YOUR PLAN. BY ENTERING INTO THESE TERMS AND CONDITIONS, YOU ACKNOWLEDGE THAT YOUR CLEANSE CLUB SUBSCRIPTION HAS AN INITIAL AND RECURRING PAYMENT FEATURE AND YOU ACCEPT RESPONSIBILITY FOR ALL RECURRING CHARGES PRIOR TO CANCELLATION OR EXPIRATION OF YOUR PLAN. DURING THE TERM OF YOUR PLAN, YOU AUTHORIZE CLEAN JUICE TO SUBMIT CHARGES WITHOUT FURTHER AUTHORIZATION FROM YOU UNTIL YOU PROVIDE US WITH NOTICE THAT YOU WISH TO CANCEL YOUR CLEANSE CLUB, TERMINATE THIS AUTHORIZATION, OR CHANGE YOUR PAYMENT METHOD. TO CANCEL YOUR CLEANSE CLUB, TERMINATE YOUR AUTHORIZATION, OR CHANGE YOUR PAYMENT METHOD, VISIT THE MANAGE SUBSCRIPTION OPTION ON THE ACCOUNT TAB ON THE APP AND FOLLOW THE INSTRUCTIONS FOR CANCELLATION OR MODIFICATION.
    
    BY SUBSCRIBING TO THE SERVICE, YOU AUTHORIZE CLEAN JUICE TO CHARGE YOUR PAYMENT PROVIDER EACH MONTH FOR THE TERM OF YOUR PLAN. FOR ANY GIVEN MONTH, IF CLEAN JUICE DOES NOT RECEIVE PAYMENT FROM YOUR PAYMENT PROVIDER, (A) YOU AGREE TO PAY ALL AMOUNTS DUE ON YOUR ACCOUNT UPON DEMAND, AND (B) YOU AGREE THAT CLEAN JUICE MAY EITHER TERMINATE OR SUSPEND YOUR CLEANSE CLUB SUBSCRIPTION AND CONTINUE TO ATTEMPT TO CHARGE YOUR PAYMENT PROVIDER UNTIL PAYMENT IS RECEIVED.
  3. c. NO Automatic Renewal of Plan. Your Cleanse Club will continue for the term of your Plan unless cancelled by you in accordance with Section 8. Your Cleanse Club will NOT automatically renew after the end of the term of your Plan. To continue with the Cleanse Club, you must go into the App and subscribe to a new Plan after the term of your previous Plan has ended.
  4. d. Price Changes. We reserve the right to adjust pricing for our Cleanse Club program or any components thereof, including the Cleanse Club Monthly Fee, in any manner and at any time as we may determine in our sole and absolute discretion.
Billing and Payments
1. 1. a. Recurring Monthly Fee. Cleanse Club monthly pricing for 1 Cleanse day per month, 2 Cleanse days per month, and 3 Cleanse days per month are published in the App at the time of your order for that month. When you become a Cleanse Club subscriber, you authorize Clean Juice to charge your debit/credit card at the rates then in effect on the 1st calendar day of each month (the “Cleanse Club Monthly Fee”) on a recurring monthly basis for the term of your Plan. If you sign up in the first 25 days of the calendar month, you will be charged and pick your Cleanse days for that current calendar month. If you sign up after the first 25 days of the calendar month, your Cleanse Club subscription will start the following month and you will be charged the Cleanse Club Monthly Fee the first of the following month. You can order a cleanse in-store while you wait for the next month’s Cleanse Club subscription to start.
  2. b. Payment. You agree to pay for all orders made from your Account in accordance with these Terms and Conditions and the pricing and billing terms in effect at the time an order is made from your Account. You also agree to pay all applicable taxes. To make an order from your Account, you must provide valid payment information (e.g. debit/credit card) through the App. By placing an order through your Account, you also agree and authorize (1) the payment method(s) you provide to be immediately charged for all amounts and taxes applicable to your order, (2) MO Juice Living Organic to automatically charge alternative payment methods associated with your Account if a primary payment method is declined or no longer available, (3) MO Juice Living Organic, to share payment information and instructions required to complete your payment transactions between MO Juice Living Organic , our payment processors, and their third-party payment service providers, and (4) no additional notice or consent is required for the foregoing authorizations. You agree to immediately update your Account in the event of any change in your payment information. MO Juice Living Organic reserves the right at any time to change its billing methods.
  3. c. Payment Methods. You may edit your payment method information by visiting your Account page in the App. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not edit your payment method information or cancel your Cleanse Club subscription, you remain responsible for any uncollected amounts and authorize us to continue billing your payment method as it may be updated. This may result in a change to your payment billing dates. If changes are made to your payment method, your payment service provider may provide us with the updated payment method details. You authorize us to use these updated payment method details in order to help prevent any interruption to the Service. We may update your payment method information with information provided by the applicable payment service provider, and you authorize us to continue to charge you the Cleanse Club Monthly Fee to your updated payment method. For certain payment methods, the issuer of your debit/credit card may charge you a transaction fee or other charges. Check with your payment service provider for details.
  4. d. AUTOMATIC PAYMENT. YOU ACKNOWLEDGE AND AGREE THAT YOUR CLEANSE CLUB SUBSCRIPTION WILL CONTINUE FOR THE FULL TERM OF YOUR PLAN AND YOU WILL AUTOMATICALLY BE CHARGED BY YOUR PREFERRED PAYMENT METHOD BEGINNING ON THE DATE YOU REGISTER FOR THE CLEANSE CLUB (OR THE FIRST DAY OF THE FOLLOWING MONTH IF YOU REGISTER AFTER THE 25TH DAY OF THE MONTH) AND THEN ON THE 1ST CALENDAR DAY OF EVERY MONTH FOR THE TERM OF YOUR PLAN. THE CLEANSE CLUB MONTHLY FEE WILL BE AUTOMATICALLY DEDUCTED FROM YOUR PREFERRED PAYMENT METHOD EVERY MONTH UNTIL THE END OF THE TERM OF YOUR PLAN. TO CANCEL YOUR PLAN, VISIT THE MANAGE SUBSCRIPTION OPTION ON THE ACCOUNT TAB ON THE APP AND FOLLOW THE INSTRUCTIONS FOR CANCELLATION. YOU ACKNOWLEDGE AND AGREE THAT YOUR CANCELLATION WILL NOT BE EFFECTIVE UNTIL THE MONTH AFTER YOU ELECT TO CANCEL YOUR CLEANSE CLUB SUBSCRIPTION AND THAT THERE ARE NO REFUNDS AVAILABLE FOR CANCELLATIONS WITHIN THE CURRENT MONTH FOR WHICH PAYMENT HAS ALREADY BEEN MADE.
Cleanse Club Election Changes by You. You may modify your Cleanse Club program elections within the limits set by the following policies, which can be modified by MO Juice Living Organic at any time:
1. 1. a. Cleanse Pick Up Store Location. Your Cleanse Club program is specifically tied to the MO Juice Living Organic retails that you select when you register for the Cleanse Club through your Account. In order to change the MO Juice Living Organic retail pick up location for your Cleanses, you will need to cancel your current Cleanse Club program per the cancellation terms shown below in Section 8 and then register for a new Cleanse Club program selecting the new pick up location.
  2. b. Cleanse Days Pick Up Dates. You must select your pick up day(s) for your Cleanses each month. Within the App, you can modify the scheduled pick up days for your Cleanse Club program each month as described herein. The ability to change your pick up day for a given week locks at 7:00 AM on the day that is two (2) days prior to your scheduled pick up date. If you make the change after such time, the change will not take effect until your next pick up date. For example, if you have a scheduled pick up date on Wednesday, you have until Monday at 7:00 AM of that week to change your pick up date.
  3. c. Cleanse Days per Month (1, 2, or 3 days). Within the App, when you register for the Cleanse Club, you will specify the number of days each month that you want the Cleanses and the Cleanse Club Monthly Fee charged to you on the first day of the month will reflect that selection by you. You can modify this selection at any time and the change will be effective with the start of the next month of your Plan.
  4. d. Cleanse Club Program Subscription Term (1, 6, 12 months). Within the App, when you register for the Cleanse Club, you will specify the fixed term of the Plan for your Cleanse Club subscription, which determines the number of months that you will be charged the Cleanse Club Monthly Fee. If you want to decrease the term of your Plan, you would cancel your current Cleanse Club program per the cancellation policy shown below in Section 8 and then register for a new Cleanse Club program at the new Plan term length. Your Plan will automatically expire at the end of the term of your Plan.
  5. e. Cleanses per Month. When you register for the Cleanse Club subscription program, you may choose the subscription that includes multiple Cleanse days per month. Depending on the number of Cleanse days per month you subscribe to including 1, 2 or 3 days per month, you may or may not be able to mix the Cleanse type such as The Original Cleanse or The Immunity Cleanse, each month that you would like to consume based on availability.

Although common side effects include diarrhea, fatigue, and headaches, if you begin to feel ill or unwell, consult your doctor immediately.

Our juices may include allergens. Please check the ingredients list before purchase and before consumption. MO Juice Living Organic, LLC is not liable for any allergic reactions and refunds will not be given to those who have an allergy to an ingredient.

FORCE MAJEURE
MO Juice Living Organic, LLC will not be liable for failure or losses caused by conditions and events beyond its control including, without limitation: fire, electrical, mechanical or equipment breakdowns, delays by third party vendors and/or communications carriers, civil disturbances or disorders, terrorist acts, strikes, acts of governmental authority or new governmental restrictions, market fluctuations or acts of God.
